11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣方應(yīng)即電告買方合同號、品名、已裝載數(shù)量，發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等。 shipping advice ： the sellers shall immediately ， upon the completion of the loading of the goods ， advise the buyers of the contract no ， names of commodity ， loaded quantity ， invoice values ， gross weight ， names of vessel and shipment date by tlx/fax.

12.檢驗(yàn)與索賠：

inspection and claims：

①賣方在發(fā)貨前由 檢驗(yàn)機(jī)構(gòu)對貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。

the buyers shall have the qualities ， specifications ， quantities of the goods carefully inspected by the inspection authority ， which shall issue inspection certificate before shipment.

②貨物到達(dá)目的的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的 天內(nèi)憑 檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。

the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract， the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within days after the goods arrival at the destination.

③如買方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起 天提出；凡屬數(shù)量異議須于貨到目的口岸之日起 天提出。對所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方?！orce majeure ： the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

14.爭議之解決方式：

disputes settlement ： 任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對雙方均有約束力。

15.法律適用

11．合同的完整性與轉(zhuǎn)讓：

complete contract and asignment：

（a）本合同中的條件和條款構(gòu)成買賣雙方（以下簡稱“雙方”）對合同項(xiàng)下貨物的全部和最終理解。對本合同的任何修改、補(bǔ)充或?qū)贤魏螚l款的免除，均必須經(jīng)受約束方書面確認(rèn)，否則無效。

12．擔(dān)保：

warranty:

賣方擔(dān)保所有貨物符合第一條規(guī)定的規(guī)格。除此之外，任何性質(zhì)的陳述，擔(dān)保和條件，均予排除并消滅。

the seller warrants that all commodity will conform to the description set out in clause 1. save as aforesaid all representations , conditions and warranties of whatsoever nature are hereby excluded and extinguished.

13．許可證、關(guān)稅和稅收：

licenses,duties and taxes:

除本合同另有規(guī)定外，所有進(jìn)口許可、許可證以及不屬于國家的任何政府機(jī)構(gòu)征收的一切進(jìn)口稅、關(guān)稅和各種稅收均由買方負(fù)擔(dān)。

except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes levied by any government authority other than the seller ’s country shall be the sole responsibility of the buyer.

14．不可抗力：

force majeure:

如果賣方遇到人力不可抗拒事件，包括但不限于火災(zāi)、水災(zāi)、地震、臺風(fēng)、自然災(zāi)害以及任何其他賣方不能合理控制的任何意外事故和情況，阻止、妨礙或干擾了本合同的履行時(shí)，本合同規(guī)定的賣方履約時(shí)間應(yīng)自動(dòng)延長，其延長年時(shí)間應(yīng)相當(dāng)于因人力不可抗拒事件直接地或間接地使賣方不能履行本合同的時(shí)間。受不可抗力事件影響的賣方應(yīng)在合理的時(shí)間內(nèi)，用電報(bào)或電傳將不可抗力事件的發(fā)生通知買方，并于__個(gè)月內(nèi)將有關(guān)當(dāng)局出具的有關(guān)不可抗力事件的證明航寄買方。

15．索賠
